Terms of Service

Last updated: December 2024

Agreement to Terms

By accessing or using Universal Maintenance Passport ("UMP," "Service"), you agree to be bound by these Terms of Service. If you do not agree to these terms, do not use the Service.

Description of Service

UMP provides a platform for creating, storing, and verifying digitally signed maintenance credentials for physical assets. The Service includes:

  • Credential issuance and signing
  • Immutable ledger anchoring
  • Evidence storage and hash binding
  • Verification services
  • Passport Pack generation
  • APIs and SDKs for integration

Account Registration

To use certain features, you must register for an account. You agree to:

  • Provide accurate and complete information
  • Maintain the security of your account credentials
  • Notify us immediately of unauthorized access
  • Accept responsibility for all activities under your account

Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose
  • Submit false or misleading maintenance records
  • Attempt to tamper with or forge credentials
  • Interfere with or disrupt the Service
  • Attempt to gain unauthorized access to any systems
  • Use the Service to infringe intellectual property rights
  • Resell or redistribute the Service without authorization

Credential Accuracy

Issuer Responsibilities

If you issue credentials, you represent and warrant that:

  • All maintenance events you record are accurate and truthful
  • You have authority to issue credentials on behalf of your organization
  • Evidence attached to credentials is authentic and unaltered
  • You will maintain appropriate records to support issued credentials

Verification Limitations

UMP verifies the cryptographic integrity of credentials (signature validity, ledger presence, evidence hash matching). UMP does not verify the truthfulness of the underlying maintenance work. Verification confirms that a credential has not been tampered with, not that the work was performed correctly.

Intellectual Property

The Service, including its software, design, and documentation, is owned by UMP and protected by intellectual property laws. You retain ownership of your data, but grant us a license to use it as necessary to provide the Service.

Data and Privacy

Your use of the Service is also governed by our Privacy Policy, which is incorporated by reference. By using the Service, you consent to the collection and use of information as described in the Privacy Policy.

Fees and Payment

Certain features of the Service may require payment. Fees are described on our pricing page. You agree to pay all applicable fees and taxes. We may change fees upon reasonable notice.

Termination

We may suspend or terminate your access to the Service for:

  • Violation of these Terms
  • Non-payment of fees
  • Fraudulent or illegal activity
  • Extended inactivity

You may terminate your account at any time. Upon termination, your right to use the Service ceases. Credentials already issued and anchored will remain verifiable.

Disclaimers

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE. WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, UMP SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNTS PAID BY YOU TO UMP IN THE TWELVE MONTHS PRECEDING THE CLAIM.

Indemnification

You agree to indemnify and hold harmless UMP and its officers, directors, employees, and agents from any claims, damages, or expenses arising from your use of the Service, violation of these Terms, or infringement of any rights of another party.

Governing Law

These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict of law principles. Any disputes shall be resolved in the courts of Delaware.

Changes to Terms

We may modify these Terms at any time. Material changes will be communicated via email or prominent notice on the Service. Continued use after changes constitutes acceptance of the modified Terms.
